Publication of Admission Document
22 June 2010. The Board of Easydate plc, the internet-based dating operator, today announces the publication of its Admission Document relating to the intended admission of its ordinary shares to the AIM market of the London Stock Exchange on Wednesday, 30 June 2010 and Thursday, 1 July 2010 under the symbol EZD.
Established in 2005, Easydate is one of the UK's leading internet-based dating operators providing dating services through several successful and complementary websites in the United Kingdom and overseas.
The Company is raising £10 million through the placing of 16,666,667 new Ordinary Shares and, pursuant to the placing, 8,333,333 existing Ordinary Shares and Option Shares are being sold. In total, 33.31% of the Enlarged Issued Share Capital of the Company is being placed and, the approximate market capitalisation of the Company at admission will be £45 million.
Cenkos Securities plc, through its Edinburgh office, is acting as Nominated Adviser and broker to the Company.
Through its growing network of websites, Easydate Group has built a base of over 13 million registrants and over 9 million members in 29 countries (those countries with over 1,000 members), with a growing proportion of members coming from outside of the United Kingdom. The Directors believe that the Group's core strengths lie in its:
- User base: The Group's websites are significantly sized in the UK on-line marketplace, currently adding on average more than 300,000 new registrants and more than 200,000 new members each month. The Board believes that the Group's large established user base represents a significant advantage over new market entrants in the UK.
- Large affiliate network: The substantial number of registrants in Easydate's marketing affiliate program allows the Group to market its brands beyond its established users by collaborating with other organisations which market the Group's services on their own websites. The Directors believe that the scale of the network reduces the Group's dependence on 'paid for' search results and also provides an advantage over competitors.
- Innovative and scalable technology platform: The Easydate business has developed a robust, highly scalable technology platform over the last five years that allows Easydate to add new features and launch additional websites at a relatively low incremental cost and without significant capital expenditure. The Group's in-house Ukrainian-based technical and on-line marketing team provides the Group with a highly skilled, lower cost base which the Directors believe offers a medium term competitive cost advantage.
- Effective, capable and internationally-oriented management team: Easydate's management team has developed internally as the business has grown and has expanded its capabilities in line with the Group's growth. The business has a track record of developing and retaining key staff. The Directors will seek to develop the management team commensurate with the growing requirements of the business, particularly as the Group expands in overseas marketplaces.
The worldwide market for dating services is estimated by the Directors to be in excess of US$1 billion and growing in the established US market at approximately 3 per cent., in the UK at between 6 per cent. and 10 per cent. with emerging markets growing at a far higher rate. The Directors believe that this growth is being driven by wider usage of dating and social networking applications and increased access to the internet, in particular by using broadband connection and via mobile phones. In addition, the increasing number of one-person households and divorcees also contributes to the rise in interest in online dating. On-line dating is cost effective and convenient in comparison to more traditional methods of dating such as introduction agencies. An increasing number of individuals subscribed to online dating websites despite the recent recession in the UK. The Directors believe that this was due to a combination of the low subscription costs and individuals wishing to seek a relationship in difficult times. Whilst, in the Directors' opinion, there is increasing social acceptance in many geographical and demographic markets of online dating, the worldwide market outside the USA is currently at an earlier stage in its development. With the exception of a few large participants, the online dating market is largely fragmented, currently comprising many small private operators.
Reasons for the Placing and Use of ProceedsThe Directors consider that Admission will be an important step in the Group's development, will enhance its standing within its market place and will assist the growth in its business. In particular it will enable the Company, if required, to raise additional capital to support its strategic objectives as suitable opportunities arise. It is also expected to provide liquidity for investors through the ability to buy and sell Ordinary Shares, will provide a more diversified shareholder base and allow the existing Shareholders to realise part of their investment through the disposal of the Sale Shares as part of the Placing.
The Directors believe that Admission will also provide opportunities for the Group to attract, retain and incentivise high calibre employees through the operation of Share Option Schemes and allow employees to participate in the future success of the Group.
The Placing of the New Ordinary Shares will raise up to approximately £8.8 million (net of expenses) for the Company. The Directors believe that a solid platform for growth has been achieved, and that the funds available to the Company from the Placing will enable the Group to continue to grow and to take advantage of new opportunities as they arise. In particular, the net proceeds of the Placing available to the Company, together with the Group's existing cash resources, will be utilised principally to fund:
- an acceleration in the Group's acquisition programme;
- the roll out of dating websites in commercially attractive foreign territories; and
- the development and launch of new niche websites.
The Company will use the remaining balance of the net proceeds of the Placing available to it for general working capital purposes. The strengthening of the Group's balance sheet with the proceeds of the Placing available to it will also enable the Group to consider gearing, if appropriate.

Acquisition increases EasyDate portfolio with five new sites and over 3 million members.
5 April 2010. EasyDate is pleased to announce that it has acquired Allegran's online dating business, one of the UK's largest online dating groups, from Associated Northcliffe Digital ("AND"). The acquisition increases EasyDate's current portfolio of dating websites from seven to twelve, whilst also significantly increasing the number of members within the UK. The addition of the two strong niche brands, DatingForParents.com and MatureDating.co.uk, further enhances Easydate's position as a niche dating consolidator.
Having successfully provided the technology platform for the Allegran dating website portfolio, EasyDate has now purchased the traditional dating sites GirlsdateForFree.com, Loopylove.com and Quickflirt.com from AND as well as the successful niche dating sites DatingForParents.com and MatureDating.co.uk. This group of websites is one of the most successful in the UK, with over five years trading history and a membership database of over 3 million profiles.

23 February 2010. Avoiding face to face contact by using new technology to split up with your partner is becoming increasingly popular, according to research conducted by an online dating agency.
Even Cheryl has embraced the digital wave ending her three year marriage with Chelsea footballer, Ashley via text message.
DateTheUk, one of the UK's largest independent dating companies, asked 2000 people (equal male female split) whose relationships had ended in the last year, how things had finished.
- 34% said their relationship had finished by email
- 13% said they had changed their status on Facebook, without telling their partner
- 6% had released the news on Twitter, without telling their partner
- 2% had used mobile phone text
- Less than 1% had finished things in a chat room
The remainder of people asked had split up "the old fashioned way" by face to face conversation (38%) and telephone (8%).

2 February 2010. In the wake of Iris Robinson's extra-marital indiscretions, new research shows that Belfast is indeed the affairs capital of the entire UK.
Analysis of its customer database by one of the country's leading online dating sites benaughty.com shows that out of the many thousands who use the popular matchmaking site, those looking for affairs are more likely to live in Belfast (a total of 26% of all of that city's users).
Londoners were the least likely to be searching for a fling (17%).
Said Sean Wood, partnership manager for benaughty: "There is a delicious irony to the figures, given what Mrs Robinson has been up to, but it was a big surprise nonetheless. Obviously Belfast is taking her to its heart once more.
"Just as interesting is that Londoners are the least likely to be looking for that extra someone in their lives. Perhaps because it's a bit tougher living in London and people are holding on to what they have got...for the time being. I think that relatively low figure for people seeking affairs will change as we move further out of recession, and people are less nervous."

22 December 2009. In what has become known as the Tiger Woods Effect, the number of men and women pursuing extra marital affairs has plunged by over 40% in the weeks following revelations about the golfer's infidelities.
According to one of the UK's leading internet dating sites, benaughty.com, men wanting "discreet relationships" (aka meeting people other than their partner for dates and sex) dropped by 41.8%* after the Tiger Woods story hit the media.
Numbers continued to decline throughout the week it was revealed Woods may have slept with up to 13 women during his marriage to a total drop of 47.5%**.
While new membership numbers for the popular dating site increased over this period, the downward trend in those looking for affairs continued with women as well. The number wanting discreet relationships over this period fell 19.7%***, according to the online data, which looked at dating trends of more than 25,000 users of benaughty.com.

On both sides of the pond, men and women regard a good sense of humour, confidence and a fit body as the defining attributes of sexiness; nor income, intelligence or an attractive face make it to the top of the leader board.
Edinburgh, UK, Oct 27, 2009 More than 42% of British females and over 48% of women in USA think a good sense of humour is the key to being sexy, whilst opinion between UK and USA men is split between attributes such as a fit body, confidence and a good sense of humour.
But even in times of recession, it would appear that a 'healthy income' does not make you sexy, it does not matter if you are in the United Kingdom or the United States of America, this option received the least amount of votes from males and females in both countries, in the latest survey from BeNaughty.com, EasyDate's casual dating website. Voters at www.benaughty.com were not that excited about 'Intelligence' or an 'Attractive face' either.
UK and USA members were asked 'what makes someone sexy' and were given 6 different qualities or attributes to choose from: a fit body, tons of confidence and self assurance, a healthy income, intelligence, good sense of humour and an attractive face.
At first glance, women in the UK do not seem that different from women in the USA when it comes to their opinion on sexiness but in closer inspection we start to see a difference.
More than 40% of respondents in both groups of women regard a good sense of humour as the attribute that defines whether someone is sexy or not; however, opinion seemed to split in their second choice, where more than 45% of American females selected 'tons of confidence and self-assurance', whilst only less than 23% of UK women chose this option.
Nearly 30% of males from the UK think that a fit body makes females sexy, whilst more than 26% of men in the USA share the same opinion. But apparently a similar sized section of the male population seems to take into account personality with more than 27% of UK men giving top marks to a good sense of humour and more than 27% who think 'confidence and self-assurance' win the case.
The strongest similarity comes from male and female opinion in the USA, where 'a fit body' was given almost an equal vote by both genders; 26.24% from men, 26% from women.
Results were based on a sample of 800 respondents, equally divided in four groups of 200 each, by gender and location.

Scotland-born actor, Ewan McGregor, received more than 30% of the female vote on the famous actor category, stealing the top spot from the star of Casino Royal, Daniel Craig, who enjoyed less than 27% of the women's vote.
Keira Knightley was men's favourite actress with nearly 36% of the overall male vote, however, Kate Winslet was favoured by voters in Edinburgh, where the majority of respondents chose her over Keira Knightley. In contrast, the most votes from men aged 46 and over were given to Helen Mirren.

Two-thirds think Democrats would be better in bed
The public has cast its votes and the Democrats have come out on top as the clear winner – in the US sex elections at least.
A survey has found that people think Democrats are sexier and likely to be better in bed than their Republican rivals.
And Barack Obama has emerged as the victor over John McCain, with 72% saying he was sexier than the 71-year-old Republican.
Even recent kinky scandals surrounding Sarah Palin - McCain's running mate - are unlikely to make the Grand Old Party any more attractive.
In fact, two in five (39%) said they thought Republicans would be boring in bed - compared to fewer than one in 10 (9%) who thought Democrats would be boring.
Two in three (67%) said they thought Democrats would be better between the sheets but just one in 10 (11%) said the same of Republicans.
The survey was carried out through BeNaughty.com, the online dating website operated by UK-based Easy Date Holdings Limited.
History favours Democrats
The Democratic Party has long had an amorous history, mainly thanks to the 'sexploits' of leaders like John F Kennedy and Bill Clinton.

Singles turn to online dating as economic downturn bites harder.
Single Brits looking for new ways to tighten their belts as food and drink prices continue to rise are turning to dating websites in an attempt to save cash on expensive nights out, according to DatetheUK.com.
More than half (55%) of DateTheUK's new members said they had signed up to online dating because the places where they would normally meet people - bars, pubs and clubs - were becoming too costly.
They also said they would rather find someone special online and commit money to that one person rather than spend the cash on a string of dates that lead nowhere.
While people cut their social spending and bars, pubs and clubs close down at a rate of four a day due to spiraling costs, at the other end of the scale the 'love economy' is booming, according to Max Polyakov, chief operating officer of Easy Date Holdings Ltd., the UK's largest online dating company which runs DatetheUK.com.
EasyDate has seen its total membership base grow by an average of 10% a month in the past year.
"The global credit crunch and rising prices have made going out to meet a potential mate an expensive way to end up going home alone, and young people are clearly beginning to recognise this," said Max.

The rapid growth in the number of dating and social networking sites has created a new phenomenon of 'virtual trust' among people in the UK, which actually helps them develop relationships in the 'real' world more easily, according to a study by online dating company DateTheUK.com to be published this week.
The study of more than 2,000 dating website users has found that people are increasingly turning to the internet in order to build friendships – on which romance may blossom – believing that the internet, more than 'live' social environments like pubs, clubs or at work, will enable them to meet similar personalities and people they can trust.
The phenomenon has been most clearly identified in men under the age of 35 and women aged 35 to 44 who say they find it easier to build trust with strangers they meet online and use the internet to seek a lasting relationship.
The concept of 'virtual trust' was identified when looking at responses from people who said they were more likely to develop trust with someone online before taking the step to meet them in person.
Intellectual relationships
DateTheUK's relationship experts say dating websites and chatrooms allow users to develop relationships based more on personality and intellect than on initial physical attraction, relieving many of the social pressures associated with first-time meetings in places like pubs or clubs.
The study also observes that trust between people takes time to establish but can be lost in a heartbeat – and some people believe that building trust in an online relationship provides a strong foundation for that relationship to last in a 'real' environment.
Building virtual trust
People who establish a relationship online and build up a level of 'virtual trust' with a potential mate or someone they regard as a partner in all but the physical manner feel more confident that the relationship will last when it moves from the online environment into the real world.
This is most apparent in women aged 35 to 44 who may have been in relationships where trust has been damaged and in men under 35 who may be seeking to settle down but want to make sure they find the right mate.
Sean Wood, online marketing manager for DateTheUK.com, said, "The exponential growth in the popularity of social networking websites and chatrooms is the result of people looking for simplicity and structure in how they conduct their relationships, certainly in the initial phase."

The UK's trust 'not-spots'
Across the UK, the study has found that dating website users in Wales appear to be most cautious about building relationships and said they felt more likely to build a lasting, trusting relationship with someone they met online than with someone they might meet elsewhere, followed by those in the North West and the South East.
By contrast, only one in 10 Scottish dating website users believed they would develop a long-term, trusting relationship with someone they met online.
More than one in four Brits have used an online chat-room or dating website to line up a holiday love-making session, according to flirty dating website BeNaughty.com.
Summer sun and sex seekers tend to go online several days before their holiday to search for and flirt with potential conquests and then arrange to meet up while on holiday.
BeNaughty.com asked 2,000 of its members whether they had ever used a chat-room or dating website to book their holiday sex – and the results were breathtaking.
Nearly one in three men and almost a quarter of women polled said they had used the web to set up a holiday sex encounter.
People aged 25 to 34 and those from the north east of England are the sauciest and most likely to have gone online to book their conquest.

The number one thing we lie about in the UK is our own personal level of debt, according to a new national survey into our biggest fibs.
The Truth Be Told survey, commissioned by online dating site benaughty.com, revealed that nearly a third (29%) of the 1,028 people between 16 and 64 that were interviewed said they lied about how much money they owe.
Running a close second (28%) of the things people lied most about was how much we drink and smoke.
And third in the benaughty.com survey, with just under a quarter of votes (24%), were lies about how much we weigh.
Number of sexual partners comes fourth in the list (14%) while a person's age is fifth (13%) in the list of lies.
Surprisingly, the thing both men and women lied about least was the size of their breasts/penis.
Men versus Women – who are the biggest liars?
While just one in seven men lie about their weight, the figure leaps to more than one in three women.
The benaughty.com survey also reveals women lie slightly more than men when it comes to debt (30% compared to 28%), and are similar when lying about their smoking and drinking habits (28% and 27%).
Averil Leimon, psychologist at leadership coaching firm White Water Strategies, said: "It's no surprise that people are pressured to lie in order to make themselves appear more impressive.
"In today's society and in business, people are measured by whether they conform to certain ideals, be they physical attributes, personal wealth, professional standing or background and status.
As such, people often feel it necessary to present a more idealized version of who they are in order to appear more attractive, more professional and generally create a positive impression.
